These Terms and Conditions apply to orders placed with ADS Coffee Supplies through our website, by telephone, by email or through an agreed quotation.
Please read these terms carefully before placing an order.
1. About Us
ADS Coffee Supplies is a trading name of Allied Drinks Systems Limited, a company registered in England and Wales under company number 03490709.

2. Consumers and Business Customers
Some parts of these Terms apply differently depending on whether you are purchasing as a consumer or as a business.
A Consumer is an individual purchasing products wholly or mainly for personal use and not for purposes connected with their trade, business, craft or profession.
A Business Customer is any individual, company, partnership, organisation or other body purchasing products wholly or mainly for business or professional purposes.
Nothing in these Terms affects the statutory rights available to Consumers under UK consumer law.
3. Placing an Order
When you place an order, you are making an offer to purchase the products in your basket.
An order acknowledgement confirms that we have received your order but does not necessarily mean that we have accepted it. A contract is formed when we send confirmation that the order has been accepted or dispatched.
We may decline or cancel an order where:
a product is unavailable or has been discontinued;
incorrect pricing or product information has been displayed;
payment cannot be authorised;
delivery restrictions apply;
we reasonably suspect fraud or unauthorised activity; or
a promotional code has been used contrary to its conditions.
Where payment has already been taken for an order that we cannot accept, the amount paid will be refunded.
4. Product Information
We make reasonable efforts to ensure product descriptions, specifications, photographs and prices are accurate.
Product images are provided for illustration. Colours, packaging, labels, components and minor specifications may vary where manufacturers update their products without notice.
Where a particular measurement, connection, component, colour or specification is essential, you should contact us before ordering.
5. Prices and Payment
Prices will be displayed as inclusive or exclusive of VAT, depending on the pricing option selected on the website. The final price, VAT and delivery charges will be clearly shown during checkout.
Payment must normally be received in full before an order is dispatched unless we have agreed credit-account terms in writing.
We may correct genuine pricing errors. Where an obvious pricing error affects an order, we will contact you and provide the option to continue at the correct price or cancel the affected item.
6. Availability and Special-Order Products
All orders are subject to availability.
Products described as non-stock, special-order, customised, made-to-order or ordered specifically from a manufacturer may have longer lead times.
We will advise you where we become aware of a significant delay. Estimated availability dates are not guaranteed unless we have expressly agreed a guaranteed date in writing.
7. Mainland UK Delivery
Orders placed before 4:30pm Monday to Friday will normally be dispatched on the same working day, subject to stock availability and payment clearance.
Orders placed after the cut-off time, at weekends or on bank holidays will normally be dispatched on the next working day.

The free-delivery threshold is calculated using the applicable qualifying basket value before delivery charges. All final delivery charges will be shown at checkout.
Orders placed on Friday using a next-working-day service will normally arrive on Monday unless a Saturday service has been selected and paid for.
Delivery services and couriers may be changed where reasonably necessary.
8. Regional and International Delivery
Our published regional delivery charges currently include:

International and regional delivery times are estimates and may be affected by customs clearance, local carriers, weather, access restrictions and other circumstances outside our reasonable control.
9. Customs Charges
Orders delivered outside Great Britain may be subject to import VAT, customs duties, clearance fees or other charges imposed by the destination country.
Unless expressly stated otherwise, these charges are not included in the product or delivery price and must be paid by the recipient.
Customers are responsible for checking local import requirements before ordering.
If an order is refused because customs charges have not been paid, any refund will be subject to applicable law and may be reduced by reasonable return carriage, customs, storage or handling charges that we incur.
10. Machine and Pallet Deliveries
Coffee machines, large equipment and bulk orders may be delivered on a pallet.
We will use a tail-lift delivery service where reasonably possible. Standard pallet delivery is generally made to the nearest safe and accessible point at the front of the delivery premises.
Unless installation or positioning has been expressly included in your order:
the driver may not bring the pallet inside;
the driver may not unpack or install the equipment;
delivery does not include lifting equipment upstairs;
the customer must provide suitable access; and
the customer is responsible for moving the equipment from the delivery point.
Please tell us before ordering about steps, narrow access, restricted roads, timed-access areas or other delivery limitations.
Additional charges may apply where a delivery fails because the address is incorrect, access is unsuitable or nobody is available to accept the delivery.
11. Delivery Times and Delays
Delivery dates and times are estimates unless expressly confirmed as guaranteed.
We will not be responsible for delays caused by circumstances outside our reasonable control, including courier disruption, adverse weather, road closures, customs delays, industrial action or manufacturer delays.
This does not affect a Consumer’s statutory rights where goods are not delivered within an agreed period or within the period required by law.
12. Receiving and Inspecting Your Order
Please inspect your order as soon as reasonably possible after delivery.
If packaging or products appear damaged, please retain all packaging and take clear photographs of:
the external packaging;
the internal packaging;
the shipping label;
the damaged product; and
any missing or damaged components.
Business Customers must report visible damage, shortages or incorrect products within 48 hours of delivery wherever reasonably possible.
Consumers should also report delivery damage promptly so that we can raise a claim with the courier. However, failure to report an issue within 48 hours does not remove a Consumer’s statutory rights.
13. Consumer Cancellation Rights
Consumers purchasing online, by telephone or by email will normally have the right to cancel their order without giving a reason.
You must tell us that you wish to cancel within 14 calendar days after the day you receive the goods. If an order is delivered in separate shipments, the cancellation period normally begins after the final item is received.
After notifying us, you must return the goods within a further 14 calendar days.
No restocking or cancellation fee will be charged where a Consumer properly exercises their statutory cancellation right.
Consumers will normally be responsible for the direct cost of returning unwanted goods unless:
the goods are faulty or not as described;
we delivered the incorrect product;
we agreed to pay the return cost; or
we failed to provide legally required information about return costs.
We recommend using an insured and trackable return service.
14. Consumer Refunds Following Cancellation
Where a Consumer validly cancels an order, we will refund:
the price paid for the returned goods; and
the cost of our least expensive standard delivery option, where applicable.
Premium delivery upgrades, including Saturday or timed-delivery charges, will not normally be refunded beyond the cost of standard delivery.
We may reduce the refund where the value of the goods has been reduced because they have been handled more than would reasonably be permitted when examining them in a physical shop.
Refunds will be made to the original payment method within the legally required period. We may withhold the refund until we have received the goods or received evidence that they have been returned.
15. Exceptions to Consumer Cancellation Rights
The statutory right to cancel may not apply to certain products, including:
goods made to the Consumer’s specifications or clearly personalised;
goods that are liable to deteriorate or expire rapidly;
sealed goods that are not suitable for return for health-protection or hygiene reasons once unsealed; and
other goods or services excluded from cancellation rights by law.
These exceptions will only be applied where legally permitted.
Discounted, sale or clearance pricing does not remove a Consumer’s rights where goods are faulty, misdescribed or otherwise do not comply with the contract.
16. Business and Voluntary Returns
Business Customers do not receive the statutory consumer cancellation rights described above.
Returns from Business Customers, and voluntary returns accepted outside a Consumer’s statutory rights, require our prior written approval.
Unless otherwise agreed, a return request must be made within 14 days of delivery.
To be considered for return, products must normally be:
unused and uninstalled;
in resalable condition;
complete with all parts, manuals and accessories;
in their undamaged original packaging; and
accompanied by proof of purchase.
Approval of a return does not confirm that a full refund will be issued. Products will be inspected after arrival.
17. Restocking Fees
Restocking fees apply to approved Business Customer returns and other discretionary returns that are not caused by a fault, damage or an error by ADS Coffee Supplies.
They do not apply when a Consumer exercises a valid statutory cancellation right.
The following restocking fees may apply:

The applicable fee will depend on the product, supplier terms, condition, packaging, handling requirements and any costs incurred in processing the return.
Where possible, we will confirm the applicable fee before authorising the return.
Return carriage and the original delivery charge are normally non-refundable for Business Customer and voluntary returns.
18. Products That Cannot Normally Be Returned
The following products cannot normally be returned by Business Customers unless faulty, damaged on arrival or supplied incorrectly:
non-stock and special-order products;
custom-built, configured, personalised or made-to-order products;
products ordered specifically from a manufacturer for the customer;
used, installed or commissioned equipment;
products missing packaging, accessories, manuals or components;
products damaged after delivery;
clearance and final-sale products; and
short-dated or best-before clearance products.
This section does not limit any mandatory rights available to Consumers.
19. Faulty, Damaged or Incorrect Products
If a product is faulty, damaged when delivered, not as described or different from the product ordered, please submit a claim through our Returns and Claims Centre as soon as reasonably possible.
We may ask for photographs, videos, serial numbers or further information to help us assess the issue.
Consumers may be entitled to a refund, repair, replacement or price reduction under the Consumer Rights Act 2015. Nothing in these Terms limits those rights.
For Business Customers, we may inspect the product before deciding whether to repair it, replace it, supply missing parts, provide a credit or issue a refund.
Do not send products directly to the manufacturer unless we have expressly instructed you to do so.
20. Returning a Product
Before returning a product:
Submit a request through our Returns and Claims Centre.
Wait for return instructions or a return reference.
Package the product securely.
Include all original parts, accessories and documents.
Use an appropriately insured and trackable delivery service.
Retain proof of postage or collection.
Failure to obtain a return reference may delay processing, but it does not remove any statutory rights available to Consumers.
Unless we have arranged the collection, the customer remains responsible for the returned product until it is delivered to us.

21. Refund Processing
Consumer refunds will be processed within the period required by applicable consumer law.
Approved Business Customer and voluntary-return refunds will normally be processed within 5–10 working days after the products have been received, inspected and approved.
Refunds will normally be issued to the original payment method.
Any agreed deductions, including restocking, collection, missing-part, damage or repackaging charges, will be explained before or when the refund is processed.
22. Manufacturer Warranties
Some products include a manufacturer’s warranty. Warranty length, coverage and conditions vary by product and manufacturer.
Warranty claims may be refused where problems result from:
accidental or deliberate damage;
incorrect installation;
misuse or use outside the manufacturer’s specifications;
failure to clean or maintain the equipment;
limescale or unsuitable water treatment;
unauthorised repairs or modifications;
normal wear and tear; or
failure to follow operating instructions.
Manufacturer warranties are provided in addition to, and do not replace, a Consumer’s statutory rights.
23. Installation and Commissioning
Installation, commissioning, training and positioning are only included where expressly stated in the quotation or order confirmation.
The customer is responsible for ensuring that the site is ready and that all required electricity, water, drainage, ventilation, gas supplies, counters, access and permissions are available.
Additional charges may apply where an engineer cannot complete work because the site is unsuitable, inaccessible or not ready.
24. Business Customer Liability
This section applies only to Business Customers.
To the fullest extent permitted by law, we will not be liable for indirect or consequential losses, loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of contracts or business interruption.
Our total liability relating to a particular order will normally be limited to the total amount paid for that order.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any other liability that cannot legally be excluded.
25. Consumer Liability
We supply products to Consumers for private use.
We are responsible for foreseeable loss or damage caused by our breach of these Terms or failure to use reasonable care and skill. We are not responsible for loss or damage that was not reasonably foreseeable.
Nothing in these Terms limits any liability that cannot legally be limited or excluded.
26. Ownership and Risk
For Consumers, responsibility for the goods will normally pass when the goods come into the physical possession of the Consumer or a person nominated by them.
For Business Customers, risk will normally pass when the products are delivered to the agreed delivery address.
Ownership of products will not pass until we have received full payment of all amounts due for them.
27. Promotions and Discount Codes
Promotions and discount codes may be subject to separate conditions, including minimum spends, eligible product categories, customer eligibility and expiry dates.
Unless stated otherwise:
only one discount code may be used per order;
codes cannot be applied retrospectively;
codes cannot be exchanged for cash;
machinery, equipment, clearance products and special-order items may be excluded; and
we may cancel a discount obtained through misuse or an obvious technical error.
28. Personal Information
We process personal information in accordance with our Privacy Policy.
We may provide necessary delivery information to couriers, manufacturers, payment providers and service partners for the purpose of processing and fulfilling an order.
29. Events Outside Our Control
We will not be responsible for delay or failure caused by events outside our reasonable control.
Where such an event significantly affects an order, we will contact you as soon as reasonably possible and take reasonable steps to minimise the effect.
30. Changes to These Terms
We may update these Terms from time to time.
The Terms applying to an order will normally be those displayed or supplied when the order is placed, unless a change is required by law or agreed between us and the customer.
31. Severability and Waiver
If any part of these Terms is found to be invalid or unenforceable, the remaining sections will continue to apply.
A delay or failure by us to enforce a right does not mean that we have waived that right.
32. Third-Party Rights
Unless expressly stated otherwise, nobody other than the customer and Allied Drinks Systems Limited will have any right to enforce these Terms.
33. Governing Law
These Terms are governed by English law.
Consumers may bring proceedings in the courts applicable to the part of the United Kingdom in which they live.
For Business Customers, the courts of England and Wales will have exclusive jurisdiction unless we agree otherwise in writing.
